Summary
Dual-qualified solicitor (admitted in England & Wales) and attorney (admitted in South Africa) with substantial experience in general corporate, commercial, company law, asset management, investment funds and securities transactions. He regularly advises multinationals, large domestic companies, growing businesses (including SMME's) and entrepreneurs in a wide variety of sectors including the technology, telecommunications, financial services, manufacturing, engineering, construction, health-care, education and veterinary sectors in relation to domestic and cross-border transactions, mergers and acquisitions, joint ventures, company law, shareholder rights and e-commerce. He also has substantial experience with hedge funds, investment funds and alternatives. Specific experience includes:-- (a) advising domestic and international clients on joint ventures, re-organisations, acquisitions and disposals; (b) undertaking due diligence investigations and preparing comprehensive due diligence reports; (c) advising on shareholder rights and drafting shareholder agreements; (d) advising on the purchase or sale of shares, assets or businesses as going concerns; (e) advising on and drafting licensing, supply, distribution, manufacturing and service-level agreements for clients; (f) advising clients on the best legal structure to be utilised when establishing a presence in South Africa or the UK, as well as other legal, business and tax consequences thereof; (g) drafting a variety of day-to-day business, commercial, technology and related agreements; (h) advising on the impact of the Companies Act, the Consumer Protection Act and National Credit Act; (i) providing guidance on and drafting employment contracts and dealing with other employment-related issues (such as restraints and confidentiality obligations); (j) establishing Cayman Island, Luxembourg and Irish off-shore and US onshore hedge funds and other investment vehicles; and (k) drafting or negotiating a wide variety of trading, broker, derivative and counterparty documentation.
