Summary
I have three decades of experience as a transactional lawyer in structuring, negotiating and documenting business deals of all kinds. I am known for my expertise in corporate law, venture finance, private equity, strategic mergers and acquisitions and technology transactions. I have worked with hundreds of start-up and emerging companies and their investors, guiding them from their pre-founding stages through their angel and venture capital financing rounds, significant commercial contracts and strategic alliances to their ultimate exit transactions. I serve as outside general counsel to many privately held companies in a wide range of industries including the blockchain / crypto, video game, cloud computing, digital media, mobile, biotechnology, semiconductor and medical device sectors. I have lived in five countries on four continents, but alas, am fluent only in English and body language! I enjoy building bridges across cultural gaps and helping create solutions that put my client's interests first while satisfying the legitimate concerns of all parties. As a result, clients have sought me out to handle cross-border transactions involving numerous countries including Australia, Bahrain, Belgium, Brazil, the Cayman Islands, China, Dubai, Egypt, France, Germany, Honduras, India, Israel, Jordan, Luxembourg, Malaysia, the Netherlands, Pakistan, the Philippines, Saudi Arabia, Serbia, Singapore, Spain and Switzerland.
