Summary

‎I’m a deals and contracts lawyer with specialties in mergers & acquisitions, ‎LLCs, startups, complex contract negotiations, stock, asset, loan, ‎purchase and secured transactions, acquisitions, and financing.‎ I have focused for 40 years on results and value for clients, timeliness, ‎economy, choices, practicality, helping clients plan and execute ‎strategies, solve problems, and realize opportunities using business law ‎and negotiations. Avoidance of litigation, assessment of risk, building the ‎right amount of insurance--these are the metaphors of successful contract ‎negotiations. ‎ In addition to M&A and new business formation, my practice includes ‎governance, lending and other commercial transactions, joint ventures ‎and nonprofit corporate transactions, including affiliation agreements. I’ve ‎represented private and public companies, universities, state agencies ‎and non-profit corporations, as well as executives and companies ‎‎(employment, executive compensation, severance agreements, and stock ‎option plans) and issuers, underwriters, venture capital and angel ‎investors in public and private offerings of debt and equity securities. ‎ I am Chair of the Legislative Committee of the Business Section of State ‎Bar of Arizona, active in its subcommittees on Corporate, Partnership, and ‎LLC Laws, and have worked on legislation in more than five sessions.
